I am the Manager of the Silver Dollaz Metropolitan District ("District") and have <br />held that position at all times relevant hereto. <br />2. The District entered into an intergovernmental agreement with the Colorado <br />Department of Transportation ("CDOT") dated November 21, 2000 ("IGA") concerning certain <br />street lights constructed by the District along Colorado Highway 119. <br />3. I have personally discussed the IGA with Jeff Kulman, Director CDOT's Region <br />1, in which the street lights aze located. Mr. Kulman did not agree that the ownership or <br />maintenance responsibilities for the street lights have transferred to CDOT and stated that he had <br />referred the IGA to the Attorney General of the State of Colorado for review. <br />EXHIBIT <br />~? <br />
