THIS LEASE AGREEfAEIJT is made and entered into this

STEVE P. FOSTER and D. DALE FOSTER, whose address for
purposes of this Agreement is 2345 N. 7th Street, Grand
Junction, Colorado 81501, hereinafter referred to as
"Lessor", and COP,N CONSTRUCTION CO., a Colorado CC
corporation, whose address for purposes of this Agreement
is P.O. Box 1240, Grand Junction, Colorado 81502, herein-
after referred to as "Lessee"
RECITALS
A. Lessor is the owner of property within the SE} of

the SEA of Section 34, and the E'-z SW'-~ and SW'-~ SW'-~ of
Section 35, Township 1 South, Range 1 East of the Ute
Meridian, Mesa County, Colorado.
B. A portion of the property contains sand and
gravel and the parties desire to execute this Lease so that
Lessee may extract such sand and gravel.

NOW, THEREFORE, the parties agree:
1. Lessor hereby grants unto Lessee, subject to the

terms of this Agreement, the exclusive right to enter upon
the portion of the real property depicted on the map
attached as Appendix A (hereinafter "Leased Property") to
extract, process and remove thereform sand and gravel in
accordance with the terms hereof.
2. Lessor presently holds a permit from Mesa County
and the Colorado Mined Land Reclamation Board for the
extraction of sand and gravel from that portion of the
Leased Premises lying within said Section 34. The parties
shall cooperate and execute such documents as may be
reasonably necessary to permit the Lessee to extract the
sand and gravel pursuant to said permits and to transfer
the said permits to the Lessee. The parties shall also
cooperate to permit substitution of the Lessee's bond for
any bond which may have been posted by Lessor.
