<br />In consideration of the amount of Ten Dollars ($10) and for
<br />other good and valuable consideration the receipt of which is
<br />hereby acknowledged, CONSOLIDATION COAL COMPANY, a Delaware
<br />corporation ("Assignor"), having its principal office at 1800
<br />Washington Road, Pittsburgh, PA 15241, hereby grants and assigns
<br />to COLOWYO COAL COMPANY, a Delaware general partnership farmed by
<br />its general partners Gracoal Inc., a Delaware corporation, and
<br />Western Hanna Inc., a Delaware corporation ("Assignee"), having its
<br />principal office at 5731 State Highway 13, Meeker, CO 81641, all
<br />of Assignor's right, title and interest in that certain federal
<br />coal mining lease described as follows:

<br />satisfy all of the duties and obligations of the lessee under the
<br />above-described lease which accrue from and after the date of this
