The corporation is directed in its day to day activities by Sandra Pautsky, President and <br />Chairman of the Boazd. Sandra Pautsky has direct ownership or voting control of <br />62.15 % of the company stock. The shares of common stock owned by Ms. Pautsky <br />include; (i) 680,062 shazes owned by the Noel Pautsky Trust, of which Ms. Pautsky is <br />the trustee and one of four beneficiazies, (ii) 140,464 shares owned by the Noel Pautsky <br />Marital Trust, of which Ms. Pautsky is the Trustee, (iii) 182,106 shazes owned by the <br />Jimmy Pautsky Trust, of which Ms. Pautsky is the Trustee, and (iv) 908,247 shazes <br />owned by the Flem Noel Pautsky, Jr. Trust, of which Ms. Pautsky is the Trustee. Ms. <br />Pautsky disclaims any beneficial ownership of the shares owned by the Noel Pautsky <br />Trust in excess of her respective beneficial interest therein. Ms. Pautsky disclaims any <br />beneficial ownership of the shares owned by the Noel Pautsky Marital Trust, the Jimmy <br />Pautsky Trust, and the Flem Noel Pautsky, Jr. Trust. The remaining stock is owned by <br />public shareholders, none of which own 10% or more of the stock. No other persons <br />have the authority to directly or indirectly determine the manner in which OEI conducts <br />surface mining activities. <br />
