Coal Mining Lease
Dear Mr. Christy:

Under the terms of the above captioned Coal Mininq
Lease, dated December 12, 1977, the first minimum monthly
royalty of $100 was due January 5, 1978. This payment, and
all further minimum monthly royalty payments, are a credit
against production royalties in accordance with Section 3 of
the Coal Mining Lease.
The Coal Mining Lease did not require the payment of a
minimum monthly royalty of $100 upon execution of the lease
on December 12, 1977. Grace's attorney, Ms. Christy Murphy
of Davis, Graham & Stubbs, and your attorney, Mr. Harry S.
Peterson, orally agreed at the closing that Grace would pay
a $100 minimum monthly royalty due December 12, 1977, and
that said minimum monthly royalty would be recoverable out
of production royalties. In accordance with this oral
arrangement and in accordance with Section 3 of the Coal
Mining Lease, Grace subsequently mailed its Check No. 12418
in the amount of $200 to your account, No. 309-281-9, at the
- First National Bank of Pueblo, Colorado.
This letter is to confirm our mutual understanding and
agreement that the initial $100 payable to you on December 12,
as minimum monthly royalty for the period 12/12/77 to 1/5/78
shall be recoverable out of production royalties in accor-
dance with Section 3 of the Coal Mining Lease dated December 12,
