ASSIGNMENT OF COAL MINING LEASE 60UN~~7 MI.F ~JGO
For and in consideration of Ten Dollars in hand paid
and other valuable consideration, the receipt of which is
hereby acknowledged, W.R. Grace 6 Co., a Connecticut corporation
("Grace"), hereby transfers and assigns to H-C COAL COMPANY, a
Delaware general partnership ("H-G"), all of its right, title
and interest in and to that certain coal mining lease dated
December 12, 1977 from Harold H. Christy to Grace (which coal
mining lease is hereinafter referred to as the "Lease"), covering
the following described land in Routt County, Colorado, to-wit:
Township 5 North, Range 68 West o£ the 6th P.M.
Section 30: Lots 15 and 16
Grace warrants title against all persons claiming by,
through or under Grace.
BY ACCEPTANCE of this assignment, H-G, for itself and
its successors and assigns, agrees to perform the following
covenants which shall run with the leasehold estate:
(i) to keep complete and accurate records con-
cerning each ton of coal mined under the Lease from
below the "5th Seam", as defined in Exhibit B [o the
Royalty Agreement dated January 30, 1978 (the "Agree-
ment") between Grace and The ftanna Mining Company
("Hanna") as recorded in the office of the Clerk and
Recorder of Routt County, Colorado concurrently with
the filing of this assignment and, upon request, to
make such records, and all records of coal orodueed
required under the Leas e, available for inspection
and copying by Grace and Hanna;
(ii) to give Grace and Hanna written notice in
the manner provided in paragraph 3fa) of the Agree-
ment on or before the fifth working day of each month
of the number of tons of coal mined under the Lease
from below said 5th Seam during the immediately pre-
ceding month and, in like manner, to furnish Grace
and Hanna copies of all production and royalty re-
ports required under the Lease or by any governmental
agency within ten days of the date required for the
making of such reports, and Grace and Hanna are hereby
authorized and granted permission to inspect and copy
such reports in the office of said governmental agency;
(iii) prior to any assignment of ehe Lease to a
third party, to bind the third party (a) to accept
personally the obligations set forth in the above
covenants (i) and (ii), and (b) to impose on any
assignee of the third party the obligations set forth
in those covenants and the obligation to impose such
obligations upon future successive assignees of the
Lease.
