"CENTENNIAL") whose address is : 485 Washington Street . Suite <br /> #1, Craig, Colorado 81625 , Sub lessor; and MARATHON GOLD <br /> CORPORATION, a Utah corporation (hereinafter "MARATHON") whose <br /> address is : 485 Washington Street , Suite #1, Craig, Colorado <br /> 81625 , Sub Lessee. <br /> KNOW ALL MEN BY THESE PRESENTS , that CENTENNIAL, being <br /> (a) the owner of an undivided 50% interest , and the lessee of <br /> the other undivided 50% interest under that certain mining <br /> lease , a copy of which is attached hereto as Exhibit "A" and <br /> incorporated herein by reference (hereinafter "Master Lease") <br /> in and to certain unpatented placer and lode claims situated in <br /> Moffat County, Colorado, and more particularly described below <br /> (hereinafter "Subject Claims") , and (b) the lessee under three <br /> certain mining leases copies of which are attached hereto as <br /> Exhibit "A-1" and incorporated herein by reference (hereinafter <br /> "Section 9 Leases") , for and in consideration of the sum of Ten <br /> Dollars ($10 .00) in hand paid, the receipt of which is hereby <br /> acknowledged, does hereby sub lease, lease, transfer and set <br /> over unto MARATHON, all right , title and interest of CENTENNIAL <br /> in and to the Master Lease (but only insofar as the Master <br /> Lease pertains to and affects the Subject Claims) , the Section <br /> 9 Leases , and the Subject Claims , but only those portions of <br /> the Subject Claims situated in the 600 acre tract more <br /> particularly described below. <br /> I <br />
