Be it resolved that on the eleventh day of September, Nineteen hundred
ninety seven, the Board of Directors of Deer Creek Quarry, Incorporated
met to specifically address the concerns of The Division of Minerals and
Geology, State of Colorado Department of Natural Resources.
At this meeting, Mr. Henry Hall was present to acknowledge and agree to
execute a document together with the current Directors and Officers of
Deer Creek Quarry, Inc. The purpose of the document is to acknowledge
the current status of Deer Creek Quarry, Inc., and to acknowledge that
Henry Hall was a past director and President of Deer Creek Quarry, Inc.
The following parties, Henry Hall, past president and past Director,
David Hammer, President and Current Director, and Karen Hammer, Secretary
and current director, by signing and acknowledging this agreement, hereby
agree that the following information is true and correct and is what
occurred to Deer Creek Quarry, Inc. The purpose of this document is to
spedfically satisfy the Division of Mineral and Geology.
Mr. Henry Hall was the original incorporator of Deer Creek Quarry, Inc.
He served as a Director and President. He was in this capacity when he
executed the Performance Warranty to the Division of Minerals and Geology
for the Reclamation Permit #M97-014. Subsequent to this date, Mr. Henry
Hall resigned as president, and all stock in Deer Creek quarry, Inc. was
conveyed to David and Karen Hammer. David and Karen Hammer are the current
Directors of Deer Creek Quarry, Inc., and also, David Hammer is President
and Karen Hammer is Corporate Secretary of Deer Creek Quarry, Inc.
Deer Creek Quarry, Inc. is the permit holder and operator of the Deer
Creek Quarry, which is subject to the Reclamation Permit #M97-014. The
Deer Creek Quarry is current owned by Henry Hall and Doug Hall and/or
their affiliated entities. Further, Deer Creek Quarry, Inc. provided
the payment bond to the Division of Minerals and Geology, through USF&G:
