6. The COt3PAidY, in the course of the extraction of sand and gravel acid other minerals, will abide by all laws and regulations of the State of Colorado and of Adams County, Colorado. 7. The COMPAtdY will pay to the COUNTY royalty of 20 cents for each ton of material extracted and sold. The COP]- PANY will provide suitable state-certified scales to proper 1, weigh all material sold by the COMPANY. The COUtdTY will ha~~e the right to inspect said scales ~.nd c~l operations of the COMPADiY at all reasonable time , 8. The COUt1TY agrePS that its requirements for sand and gravel, to the extent possible, will be met by purchasing the same fra• she COMPANY and the COMPANY agrees that it will furnish such sand and gravel at a cost i.o greater than that charged to any other customer of the COidPANY. Such cost to any other customer of the COb1PANY shall be determined by reference to the books of the COMPANY for the month in which the various purchases by the COUPITY are made. 9. An adjustment of accounts betwee~~ the parties shall be made on the 15th day of March and the 15th day of September, as of the last day of the preceding month, of each year be- ginning in 1978. Should the 15th day of March or September occur on a Sa+~urday, Sunday, or holiday, such adjustments s; 11 be made on the next succeeding busl.,~ss day. 10. The COMPANY shall pay to the COUNTY, the minimum of $50,000 per year ($25,000 on March 15 and $25,000 on September 15), as a minimum royalty payment and such sums shall apply against the royalty provided in paragraph 7 above. In the 'event the COUNTY s: all order from the COPYPANY less than 150,000 tons of sand and gravel in any one calendar year, the minimum royalty amount shall be reduced proportionately, to a minimum of $20,000, but this provision shall not affect the oLligation of the COMPANY to pay to.the COUNTY the royalty provided in paragraph 7 above. -2-
