RAG American Coal Company, at the closing held on June 30, ]999, acquired the stock of Cyprus Amax Coal
Company. Immediately thereafter, Cyprus Amax Coal Company merged into RAG American Coal Company, the
latter surviving. As such, Cyprus Amax Coal Company, which was the parent of Cyprus Empire Corporate, no longer
exists and the new parent company of all the former Cyprus Amax Coal Company subsidiaries is RAG American
Coal Company. Part of the agreement in the transaction referenced above required RAG American Coal Company to
remover the name "Cyprus" from any of its subsidiaries. Thence, although Cyprus Empire Corporation continues to
exist in the exact same form as it did prior to June 30, 1999 closing, its name had to be changed to RAG Empire
Corporation. Since the only affect this transaction was a name change to RAG Empire Corporation, all the rights,
titles, interests in rights-of-way leasehold and all other permits and licenses accompanied the name change.
