efforts to encourage the lessee under said oil and gas lease to cooperate in good <br />• faith with Lorencito, such that development of either the coal or the oil and gas <br />will occur with due regazd for the rights of the other mineral estate and without <br />damaging or wasting the resources of the other mineral estate. <br />b. The parties recognize that the coal being leased hereby contains methane gas and <br />that this Lease does not include the rights to produce, capture or sell such <br />methane. However, Lorencito shall have the right, subject to the enforceable <br />provisions of the existing oil and gas lease, to release methane to facilitate the <br />mining of coal hereunder, and to make such gas available for capture by any oil <br />and gas lessee on the Leased Lands, consistent with good and workmanlike <br />mining practices and in conformance with applicable laws (including laws <br />relating to mine safety). <br />c. Hills and Lorencito acknowledge the Oil and Gas Lease of April 1, 1998 between <br />Hills and Chandler & Associates, Inc. (including any assigns or sublessees <br />thereof)("Chandler"), and agree that the provisions of paragraphs 6.a and 6.b <br />above apply to the Chandler lease to the extent that the terms of such pazagraphs <br />aze not inconsistent with the terms of the Chandler lease. Specifically, the parties <br />further agree that: <br />(1) Hills shall make available to Lorencito upon request, any keys, <br />combinations or other means to access the main entrance locked by <br />• Chandler and required for Lorencito's operations under this Lease. <br />Lorencito will keep the gate locked and the key or combination under <br />strict control. <br />(2) Upon request by Lorencito, Hills shall exercise their right under paragraph <br />22 of the Chandler lease to take over any of Chandler's wells that maybe <br />capable of producing water or providing degasification of coal seams for <br />the benefit of Lorencito. Lorencito shall indemnify Hills for all expenses <br />associated with the exercise of such rights. <br />(3) Hills shall make available to Lorencito at Hills' Fairfield, Texas, location <br />all seismic information, tapes, milars, field notes, maps, geological <br />analyses, plats, and geophysical and seismic information, provided to Hills <br />by Chandler under pazagraphs 26 and 29 of the Chandler lease, except for <br />information required to be kept confidential under the Chandler lease. <br />Representations of Hills <br />a. Hills agree to assist Lorencito, at Lorencito's expense, with securing a current title <br />insurance policy which adequately reflects the present value of this Lease. <br />b. Hills represent that: they have made available to Lorencito all documents of title <br />in their possession by which they acquired interests in the Leased Lands; they <br />. have not transferred or conveyed to any third party any interest in the Leased <br />Lands other than as appears in the public record; and to the knowledge of the <br />COAL LEASE FMAL 6-25-0I.doc <br />
