<br />BYLAWS OF <br />Mountain Coal Company, L.L.C. <br />RECEIVED <br />MAR " 4 902 <br />Division of Minerals and Geology <br />These Bylaws shall be subject to the Limited Liability Company Agreement, as <br />from time to time in effect (the "Agreement"), of Mountain Coal Company, L.L.C., a <br />Delaware limited liability company (the "Company'). In the event of ariy inconsistency <br />between the terms hereof and the terms of the Agreement, the terms of the Agreement <br />shall control. <br />ARTICLE 1 <br />OFFICES <br />Section .1. Principal Office and Reoistered Aoent. The principal office of the <br />Company shall be established and maintained at 555 17th Street, Denver, Colorado <br />80202. In the State of Delaware, the Company shall establish its office at the Company <br />Trust Center, 1209 Orange Street, in the City of Wilmington, County of New Castle. <br />The name of its registered agent at such address is The Company Trust Company. <br />Y Section 2.Other Offices. The Company may have other offices, either within or <br />outside of the State of Delaware, at such place or places as the Board of Directors may <br />from time to time appoint or the business of the Company may require. <br />ARTICLE II <br />MEETINGS OF MEMBERS <br />T <br />Section 1. Place of Meetinos and Meetinos 6v Telephone. Meetings of Members <br />shall be held at any place designated by the Board of Directors. In the absence of any <br />such designation, meetings of Members shall be held at the principal place of business <br />of the Company. Any meeting of the Members may be held by conference telephone or <br />similar communications equipment so long as all Members participating in the meeting <br />can hear one another. All Members participating by telephone or similar <br />communications equipment shall be deemed to be present in person at the meeting. <br />Section 2. Call of Meetinos. Meetings of the Members may be called at any time by <br />the Board of Directors or by the Chairman or the President for the purpose of taking <br />action upon any matter requiring the vote or authority of the Members as provided <br />-1- <br />
