• forth herein, the parties hereby agree as follocrs:
1. Lillylands consents to the designation of Spottswood
as the successor in interest to Canyon under the
Agreement.
2. Lillylands hereby transfers, conveys, sets over and
assigns to Spottswood all of its right, title, and
interest into and under each of the Coal Leases
e;:cept as specifically addressed in paragraph 3 of
this assignment. Spottswood hereby accepts such
transfer and assignment and hereby assumes and agrees
to perform all of the duties and obligations of the
Lessee under each of the Coal Leases from and after
the date hereof.
3. Lillylands and Spottswood agree that paragraph (3)
of the Agreement shall be and hereby is modified so
as to establish the earned royalty rate at the greater

4. Spottswood agrees to pay
5. Spottswood agrees to honor the Addendum A-1 dated
October _~_ 1991, contained in the Roy M. and
Betsy Davis Lease dated February 22, 1988, and the
Addendum A dated October /~1 1991 contained in
the William Bray'Lease dated March 3, 1989.
6. Spottswood agrees to assume responsibility in all agree-
ments that have been made by Lillylands to comply
with permit requirements and access options.
