<br />KNOW ALL MEN BY THESE PRESENTS:
<br />That this deed is made effective as of the 31st day of December, 1984 by and
<br />between Getty Oil Company, a Delaware corporation ,.(hereinafter referred to
<br />as "Grantor") and Getty Oil Exploration Company, a Delaware corporation
<br />(hereinafter referred to as "Grantee").
<br />WITNESSETH:
<br />WHEREAS, Grantor is the owner and/or holder of those certain shale oil prop-
<br />erties, and lands in Mesa and Garfield Counties, Colorado, described in
<br />Exhibits "A" and °B° attached hereto and by this reference made a part hereof
<br />(hereinafter collectively referred to as the "Properties"); and
<br />NOW THEREFORE, for and in consideration of one dollar and other good and
<br />valuable considerations, the receipt of which is hereby acknowledged, Grantor
<br />does hereby quitclaim, bargain, sell antl convey unto Grantee, all of
<br />Grantor's right, title and interest in and to the Properties, together with
<br />all improvements situated thereon and all water rights, permits and
<br />applications, and reservoir and ditch rights, appertaining or he longing
<br />thereto or used in connection therewith, and other appurtenances thereunto
<br />belonging.
<br />Grantee does hereby accept this deed subject to easements, rights of ways,
<br />exceptions and any and all reservations appearing of record affecting any of
<br />the Properties and/or rights granted.
<br />To have and to hold the same together with all and singular the appurtenances
<br />thereunto belonging or in anywise appertaining to Grantee, and all the
<br />estate, right, title, claim and demand whatsoever, of the Grantor, either in
<br />law or equity, of, in and to the Properties, together with all improvements
<br />situated thereon and all water rights, permits and applications, and
<br />reservoir and ditch rights, appertaining or belonging thereto or used in
<br />connection therewith, and other appurtenances thereunto belonging,
<br />This deed shall extend to, be binding upon, and inure to the benefit of the
<br />successors, and assigns of Grantee.
