<br />S. Sublessee shall pay all expenses and charges for which he may become <br />liable in connection with his operations on the Premises and shall keep <br />the Premises free and clear of all liens and encumbrances arising out of <br />such operations. In conducting his operations, Sublessee shall comply <br />fully with the terms and provisions of the Workmen's Compensation laws of <br />the State of Colorado and shall hold Lessors and Lessee harmless from and <br />against any and all loss, damage or claim of whatsoever nature or <br />character arising out of Sublessor's operations. <br />6. Sublessee agrees to cause all work, development and mining to be done in a <br />careful and quarrylike manner and to conform in all respects with the <br />mining laws and regulations of the State of Colorado. Sublessee agrees to <br />keep the Premises in a safe, workable condition for present and future <br />operations. <br />7. This Sublease will remain 1n effect until Aprit 30, 1989, with option of <br />renewal, unless earlier terminated in accordance with paragraph 1. <br />9. Sublessee is hereby granted a first right of refusal to acquire the <br />Premises 1n the event Lessors elect to sell their interest, provided <br />however that such right shall not apply in the event the sale is to the <br />lessee, nor shall such right apply to any complete or partial sale, <br />transfer or assignment by Lessee of its leasehold interest in the Premises. <br />9. Subject to paragraph 8, the rights granted and reserved herein shall be <br />freely assignable by the party holding such right, and any assignee of <br />such rights agrees to be bound by the terms of this Agreement. <br />10. As consideration to Lessee for ratifying this Sublease, Sublessee agrees <br />to reimburse Lessee for all property taxes assessed against the Premises <br />during the term of this Agreement. Such taxes shall be prorated between <br />Lessee and Sublessee for the taxation years 1n which this Sublease begins <br />and ends. Sublessee shall be solely responsible for the timely payment of <br />all other taxes which may arise as a consequence of S.ublessee's operations <br />on the Premises. <br />IN WITNESS.
