11. Remedies. Eachparty hereto shall have the right to enforce each and everyprovision
of this Agreement with the remedy of'specific performance or any other remedy that exists at law
or equity.
12. Genei~l Provisions.
12.1 Notices. Al] notices, demands, requests, or other communications required
under this Agreement which are in writing shall be deemed to be received only if delivered
personally or mailed by registered m~ certified mail, rehim receipt requested, in a postage-paid
envelope, or sent by facsimile transmission, or sent by Federal Express addressed to the party at the
address it has designated below or to such other address as any party may from time to time
designate to the others by notice given pursuant to this paragraph.
