<br />In eonaideretion of the sum of One Dollar (21.00) and other valusble wnsideratioos, rxeipt of which is heroby
<br />acknowledged, Lraeor hereby lessee to Lessee the tact of land shown below from the date of the lease until
<br />NOVEMBER 4. 1997 at 12:00 noon for the purpose of quarrying, mining, rcmovhtg and marketing from them all sand,
<br />gavel, rock and other eondruetioa materials. Said land 1e dtuated ht We County of BENT , In the State of
<br />Colorado, and la deecdbed as: WEST 1/2 OF SECTION 33 AND EAST 1/2 OF SECTION TOWNSHIP 22, RANGE 49
<br />(1) The actual site will be agreed upon by Lessor and Lessee; (2) Carder, Inc. will supply
<br />Materials and Labor to install fence to isolate affected areas; (3) Dust from truck traffic.

<br />minable rock will be removed from permitted area; (5) Reclamation will be followed as ordered
<br />by the Mined Land Reclamation Division; (6) Verhoeff, Inc. will be furnished with copies

<br />2. ACCESS: Lessee shall have the right of ingress end egress to and from the promises on roads presently located on mid
<br />tract or upon roads cooatrocted by Lessee together with the right to erect temporary atrrrclures such m careening and eruahing
<br />plants. asphalt plants and other eWCturea necessary to remove and process grevel.

<br />4. STOCK PILES: Lessee shall retain title to all sand and gravel mined and stock piled on the premises, and Lessee
<br />shall have the privilege of stock piling send and grevel during the term of this option or any extension thereof, whether in writing
<br />or not, for a period not to exceed nine (9) months after Lessee's privilege of mining has terminated. Lessee shall pay at the rate
<br />above sal forth for stockpiled and gravel as the same are removed. All sand sad gavel no! romoved within the nine month period
<br />shall become the property of the Lessor at the and of said nine month period.
<br />3. INDEMNiFICATIOIV: Lemee accepts all responsibility for any and all liabilities involved in the crushing and
<br />removal of grevel from the premises. Lessee agrees to indemnify Lessor against liabilities on all claioLV for damages and injuries to
<br />", persona or property that are claimed to have resulted from the activities or omimiana of Lessee or its agent or employees during the
<br />term of this lease or any extension or renewal thereof, PROVIDED, HOWEVER, that the within indemnity shall not extend W
<br />claims for damages or injuries that arise outside of Lease's activities is the crushing and romoval of gavel from the premises.
<br />6. CONDITION OF PREMISES: Lessee accepts the premises in the condition they now aro in and egress at the
<br />termination of this lease or any extension thereof to leave the promises is a neat wadition.
<br />7. The Ltssor hereby warrants that he hm good title to the above described premises; that he hm the lawful right to grant
<br />this lease and that he agrees to hold Lessee hermlem from.ny and all claims from others asserting any interest in the subject land.
<br />8. ~DDff1ONAL CONDITIONS: Carder, Inc., reserves the right sfter termitutioa of the lease agreement to eater the
<br />said property for the purpose of reclaiming and seeding m ordered by the Colorado Mined Land Reclamation Division.
<br />9. The development of operations by Lessee hereunder shell be done in accordance with all spplicable regulatory
<br />requirements.
