<br />MIMNG LEASE <br />THIS MINING LEASE is made and entered into effective this 22"' day of July, 1996, by <br />and between UMON PACIFIC LAND RESOURCES CORPORATION, a Nebraska corporation <br />(hereinafter referred to as "UPLRC") and THE DENVER BRICK COMPANY., a Colorado <br />corporation (hereinafter referred to as "Lessee"), for the consideration and upon the terms and <br />conditions hereinafter set forth to-wit: <br />RECITALS: <br />Lessee has applied to UPLRC for the exclusive right and privilege of mining, quarrying, <br />removing, using and selling all clay and associated borrow material which may be found in and <br />underlying All of Section 11, Township 8 South, Range 62 West, of the 6th P.M., Elbert County, <br />Colorado, (hereinafter called "Leased Premises"). <br />UPLRC andlor its affiliate company is the owner of the clay and associated borrow material <br />in and underlying the Leased Premises and has the right and authority to enter into this Lease. <br />UPLRC is agreeable to granting the aforesaid right and privilege upon the terms and conditions <br />hereinafter set forth. <br />NOW, THEREFORE, it is agreed as follows: <br />AGREEMENT: <br />Section 1. RIGHTS GRANTED TO LESSEE <br />UPLRC for and in consideration of the payments to be made and the covenants and <br />agreements to be performed by Lessee as hereinafter set forth, and subject to the provisions of all <br />other sections of this Lease, including, without limitation, Section 3, hereby grants to Lessee for the <br />term hereinafter provided, the exclusive right and privilege of mining, quarrying, removing, using <br />and selling all clay and associated borrow material (hereinafter for convenience called "Clay") from <br />the Leased Premises, together with the right to construct, maintain and use on the Leased Premises <br />such buildings, structures, fixtures, machinery, telephone, power, water well, pipelines, canals, <br />ponds, ditches, and roads as may be needed or convenient in carrying on said operations. <br />Section 2. EXISTING RIGHTS <br />The aforesaid rights are granted without covenants of title or to give possession or for quiet <br />enjoyment and are subject to all outstanding rights and easements covering any and all of the Leased <br />Page l of l3 <br />
