Sack <br />Engineer <br />Industrial Energy Services <br />North Metro Reqion <br />5460 W. 60th Ave. <br />Arvada, CO 80003 <br />Re: Coors Energy Company -- Electric Service at Keenesburg <br />Mine <br />• Dear Mr. Sack: <br />The provisions which follow, if acceptable to Public Service <br />Company ("PSCO"), will serve as a binding Letter of Understanding <br />(the "Agreement") between Coors Energy Company ("Coors") and PSCO <br />pertaining to electric service at the Keenesburg Mine (the <br />"Premises"). <br />1. EXISTING FACILITIES <br />Coors will transfer and assign to PSCO, in the nature of a <br />non-refundable capital contribution, all of the existing electric <br />distribution facilities now owned by Coors on the load side of <br />PSCO's existing Coors dedicated Ennis substation, including <br />switchgear and approximately two miles of overhead electric <br />distribution line and poles, but excluding the portable <br />substation located on the Premises and that portion of the <br />distribution system on the load side of Coors meters. Such <br />facilities will be transferred by Coors to PSCO in "as is" <br />condition, without any warranty whatsoever. If the switches or <br />any other equipment included in the facilities to be transferred <br />are PCB contaminated, PSCO will be responsible for costs <br />associated with correcting the situation. <br />• <br />APPENDIX P-3 1 of 4 <br />
