<br />THIS AGREEMENT, made and entered into as of this let day
<br />of December ~, 1975 by and between ROCKY MOUNTAIN ENERGY COMPANY,
<br />a Utah corporation (hereinafter called "RMEC") and COLORADO LIEN
<br />COMPANX, a Colorado corporation (hereinafter called"Lessee")
<br />WITNESSETH:

<br />RECITALS•
<br />Lessee has applied to RMEC for the exclusive right and privilege
<br />of mining, quarrying, removing, and selling.all limestone which may be found
<br />in those portions of Section 1, Township 9 North, Range 70 West of the 6th
<br />P. M, , Larimer County, Colorado described in Exhibit A attached hereto and
<br />made a part hereof (said lands being hereinaftes• called the "Le:~aed Premises").
<br />RMEC is agreeable to granting the aforesaid right and privilege: upon the terrns
<br />and conditions hereinafter set forth.
<br />NOWT THEREFORE, it is agreed aQ follows:
<br />AGREEMENT:
<br />Section 1•
<br />RMEC for and in consideration of the sum of Tan Dollars ($10.00)
<br />cash in hand paid, the receipt and sufficiency of which is hereby acknowledged,
<br />and of the payment to be paid and the covenants and agreements to be performed
<br />by Lessee as hereinafter set forth, and subject to the p;ovisior.,e of all other
<br />sections of this Lease, including, without limitation, Section 3,. hereby grants
<br />to Lessee for the term hereinafter provided, the exclusive right and privilege
<br />of mining, quarrying, removing, and selling all limestone from tho Leased
<br />Premises, together with the right to construct, maintain and u.se on the
<br />Leased Premises such buildings, structures, fixtures, machinery, telephone,
<br />power and pipelines, canals, ditches, and roads as may be needed or con-
<br />venient in carrying on said operations, but such rights are granted without
<br />covenants of title or to give possession or for quiet enjoyment and are subject
<br />to all outstanding rights and easements respecting the Leased ]?remises.
<br />Section 2•
<br />It is understood that this Lease is limited specifically to the
<br />uses and purposes hereinabove set forth, and RMEC, its succe:ssore,
<br />lessees, licensees, and assigns, shall f:ave the right to use th~3 Leased
<br />~' Premises for any purpose not inconsistent with the rights herein granted
<br />to the Lessee, including, among other things, the right of RM]:C, its
