Campbell ("Recipient"); and (ii) Horizon NR, LLC (formerly AEI <br />Resources, Inc.) and its subsidiaries ("Horizon"). For purposes of this Agreement, Horizon <br />Natural Resources Company, Horizon and their respective subsidiaries,'affiliates, predecessors, <br />successors, relatives, heirs, executors, administrators, representatives, partners, agents, <br />employees, shareholders, officers, directors and attorneys are referred to collectively as <br />"Company." <br />1. Purpose. Recipient desires to resign his employment with the Company effective <br />July 31, 2002, including termination of that Amended Employment Agreement dated October <br />15, 2001 between Recipient and Horizon ("Employment Agreemcnt'~, and the Company and <br />Recipient.desire to settle, redeem, release and discharge any and all outstanding claims Recigient <br />and the Company may have against the other, including any cash payments or benefits which <br />may be due and owing Recipient. ~ Each of Horizon and Recipient acknowledges that this <br />Agreement is being entered into as a full and final settlement of any and all disputed claims, <br />including any payments or claims pursuant to the Employment Agreement, and is not to be <br />construed in any manner as an admission of any liability or obligation on the part of Horizon or <br />Recipient. Horizon acknowledges that Recipient has resigned all positions with the Company <br />and is therefore no longer an officer, director or employee of the Company. <br />The remainder of this Agreement contains confidential information which has <br />Been redacted £rom this copy. <br />i <br />
