<br />RECITALS
<br />A. Lessor, as lessor, and Atlantic Richfield Company
<br />(^ARCO^), as lessee, entered into an IInderground Coal Lease dated
<br />as of October 18, 1974, as amended (the ^Original Lease^),
<br />covering certain lands located in Gunnison county, Colorado.
<br />B. Lessee is a wholly-owned subsidiary of ARCO.
<br />C. Lessor and Lessee desire to enter into this Lease in
<br />order to amend and restate in their entirety the terms and
<br />provisions of the original Lease as of the date of this Lease_

<br />good and valuable consideration, the receipt and sufficiency of
