DEAN ALLEN, and CAP.RIE ALLEN, husband and crife, and PAUL ALLEN, a/k/a PAUL B. ALLEN, and ERhiA J. ALLEN, husband and wife, and GIFFORD ALLEN, a/k/a GIFFORD H. ALLEN, a/k/a G. H. ALLEN, and CORINNE ALLEN, husband and wife, (hereinafter collectively referred to as "Assignors"), for and in consideration of One Dollar ($1.00), the receipt whereof is hereby acknowledged, do hereby sell, assign, transfer and set over unto SUNFLO~dER EtdERGY CORPORATION, a Colorado corporation (hereinafter re- ferred to as "Assignee"), all their right, title and interest in and to the following: (a) That certain Federal Coal Lease Application No. C-21827 and any federal coal lease that may issue in their name or in the name of any one of them pur- suant to said Federal Coal Lease Application; and (b) That certain option to sublease granted by the United States Steel Corporation to them and their predecessors in interest by the provisions of paragraph 5 of that certain Agreement of Sale dated March 8, 1956 and attached hereto and any sublease that may be ob- tained by them as a result of the exercise of said option; together with all rights incident thereto. And for the same consideration, the Assignors covenant with the Assignee, its transferees, successors or assigns: That the Assignors are the la~•rful o.rners of and have the full and valid rights to the interests above assigned and that all con- ditions necessary to keep the same in full force and effect have been duly performed.
