ASSIGNMENT OF COAL MINING LEASE
BY THIS AGREEMENT, dated this '_~' day of June, 1982, JOSEPH
CARPINE and BUDGIE FAZZINO, hereinafter referred to as "Assignor",
hereby assign their rights as lessee in that one certain Coal
Mining Lease dated October 1, 1977, as amanded, hereby attached
and made a part of this Assignment as Exhibit "A" and modified
by Exhibit "B" to ACQUISITION ANALYSTS, LTD, an Illinois corpora-
tion, hereinafter referred to as "Assignee".
1. Purchase Price: This Assignment among other assets
being sold, assigned or conveyed is in consideration of a down
payment of $110,000.00 and a promissory note in the face amount
of $390,000.00 made by Assignee to Assignor, and hereby receipted
for.
2. Warranty as to Payments: Assignor warrants to
Assignee that all obligations of Assignee, pursuant to the Coal
Mining Lease are current and have been performed by Assignor.
3. Taxes: All taxes which are the responsibility of
Lessee under Exhibit "A", shall be prorated as of the date of this
Assignment.
4. Possession: Assignee shall take possession of
the property that is set forth in Exhibit "A" as of the date of
this Assignment.
5. Subheadings for Convenience Only: The paragraph
subheadings in this Assignment, are for convenience of reference
only and are not to be used in interpretation of this Assignment.
