<br />THIS AMENDED AND RESTATED IINDERGROIIND COAL LEASE (this
<br />^Lease"), dated as of April 18, 1995, is between MOIINT GDN1iISON
<br />FDEL CO2IPANY, a Colorado corporation (^L~ssor^), and MOUNTASN
<br />COAL COMPANY, a Delawaze corporation ("Lessee^).
<br />RECITALS
<br />A. Lessor, as lessor, and Atlantic Richfield Company
<br />(n~~n) as lessee, entered into an IInderground Coal Lease dated
<br />as of October 18, 1974, as amended (the ^Original Lease^),
<br />covering certain lands located in Gunnison County, Colorado.
<br />B. Lessee is a wholly-owned subsidiary of ARCO.
<br />C. Lessor and Izssee desire to enter into this Lease in
<br />order to amend and restate in their entirety the terms and
<br />provisions of the Original Lease as of the date of this Lease.
<br />AGREEKEN`P
<br />NOW, THEREFORE, in consideration of $10.00 and other
<br />good and valuable consideration, the receipt and sufficiency of
<br />which are hereby ac7rnowledged, the parties hereby agree as
<br />Follows:
<br />1. Lessor does hereby demise, lease and let to Lessee,
<br />and Lessee leases from Lessor, all of the coal, coal rights,
<br />minerals associated with coal and the rights to such minerals,
<br />and any substances mixed with coal (all of which are hereinafter
<br />collectively sometimes called the ^Coal Rights") on, in and
<br />underlying the following described lands in Gunnison County,
<br />Colorado (hereinafter called the "Leased Preai.ses"):
