EXCAVATION LEASE AGREEMENT <br /> This Excavation Lease Agreement (this "Lease") is made and entered into as of the 5th <br /> day of December 2025 (the "Effective Date") by and between Eastern Colorado Land, LLC, a <br /> Colorado limited liability company ("Lessor") and Rollins Construction and Trucking, LLC, a <br /> Texas limited liability company ("Lessee"). <br /> Recitals: <br /> A. Lessor owns a tract of land in Kiowa County, Colorado, having an area of <br /> approximately 132.01 acres, more particularly described on Exhibit A attached hereto (the <br /> "Property"); <br /> B. Lessor has determined that there are commercially viable deposits of sand, gravel <br /> and other aggregate that could be excavated; and <br /> C. Lessor wishes to engage Lessee to excavate or cause to be excavated sand, gravel <br /> and other aggregate except that Lessor does not wish to grant any such rights with regard to oil, <br /> gas or other hydrocarbons. <br /> AGREEMENT: <br /> 1. Lease Grant. Lessor hereby leases to Lessee, and Lessee hereby leases from <br /> Lessor the Property, and all improvement, appurtenances, rights, privileges and easements <br /> benefits, belonging or pertaining to the Land (collectively, the "Premises"). The Premises shall <br /> include the right to use access roads pursuant to the rights appurtenant to the Property, in <br /> common with others having the right to use the same, upon and subject to the terms and <br /> conditions of the instruments establishing access roads. Lessee's rights hereunder are subject to <br /> all restrictions, covenants, easements, rights-of-way of record or otherwise and applicable zoning <br /> regulations including,but not limited to,those relating to natural gas pipelines on the Property. <br /> 2. Term. This Lease shall commence on the Effective Date and shall continue for a <br /> period of one year, subject to the termination provisions hereof. The initial term and any <br /> subsequent term hereunder are referred to herein as the "Term." Lessor shall have the right to <br /> terminate this Lease, in its sole discretion by giving Lessee at least thirty (30) days' written <br /> notice. Lessee shall cease operations on or before the expiration or termination date of the Lease <br /> and remove its and any subleasee's equipment within thirty (30) days after the expiration or <br /> termination date, which obligation to remove shall survive the termination date. <br /> 3. Use. During the Term of this Lease, Lessee shall use the Premises to test for, <br /> quarry, excavate, process, stockpile, remove, transport and sell only sand, gravel, and minerals <br /> consented to in advance in writing by the Lessor ("Material"), and uses incidental thereto, and <br /> for no other purpose. Without limitation of the foregoing, Lessee shall not bring other materials <br /> onto the Property, and shall not remove soil or clay from the Property. Prior to excavation of the <br /> Materials, Lessee shall cause the soil and clay to be scraped and stockpiled in a location <br /> Excavation Lease Agreement <br /> Page 1 <br />
