IHU' 46 <br /> MN II Paga: 1 of969 53 <br /> 072/03/2003 03 07P <br /> Boulder County Clerk, CO AG R 0 00 D 0.00 <br /> PURCHASE AGREEMENT <br /> THIS AGREEMENT is made and entered into this oZ�day of 10 y , <br /> 2003, by and between the COUNTY OF BOULDER, a body corporate and politic("County")and <br /> GOLDEN FARM LLLP,a Colorado limited liability limited partnership,and RLSJ PROPERTIES, <br /> LLC,a Colorado limited liability company (collectively "Seller"). <br /> RECITALS <br /> A. Seller owns certain real property within the County of Boulder, State of Colorado, <br /> consisting of approximately 351 acres of land located in Section 11, Township 2 North, Range 69 <br /> West of the 6th P.M. and Section 12, Township 2 North, Range 69 West of the 6th P.M., as more <br /> particularly described in Exhibit A attached hereto and incorporated herein by this reference (the <br /> "Seller's Property"). <br /> B. Seller desires to sell and County desires to purchase, a portion of Seller's Property <br /> consisting of 105 acres of land located in Section 11, Township 2 North, Range 69 West of the 6th <br /> P.M. ("Parcel A") and 7 acres of land located in Section 12, Township 2 North, Range 69 West of <br /> the 6th P.M. ("Parcel B"), as more particularly described on Exhibit B, attached hereto and <br /> incorporated herein by this reference subject to Seller's and County's mutual agreement as to the <br /> configuration and legal descriptions for Parcel A and Parcel B. Parcel A and Parcel B are collectively <br /> referred to herein as the "County Parcels." Seller will retain a fee simple interest in approximately <br /> 17 acres of its property in Section 11 which is north of the Saint Vtain Creek ("Lot A") and <br /> approximately 226 acres of its property in Section 11 which is South of Saint Vrain Creek and the <br /> County Parcels ("Lot B"). The legal descriptions of Lots A and Lot B are set forth on Exhibits E <br /> and F attached hereto and incorporated herein. <br /> C. Seller also desires to sell and County desires to purchase two (2) shares of the Bonus <br /> Ditch Company (the "Water Rights"),and any and all mineral rights owned by Seller, except those <br /> sand and gravel and mineral rights expressly reserved herein(the "Mineral Rights"). <br /> D. The County Parcels, Water Rights, and Mineral Rights are collectively referred to <br /> herein as the "Property". <br /> E. County and Seller agree that after County's purchase of the Property, Seller may mine <br /> the County Parcels for sand and gravel and such mining may continue until December 31, 2035. <br /> Seller shall reserve all sand and gravel rights and gold and related minerals(the "Reserved Minerals"), <br /> together with the right to mine and remove the same, and shall also retain all proceeds from the sale <br /> of the reserved minerals and/or royalties from any lease to mine such reserved minerals.
