Please <br /> find below a summary for the requested items: <br /> 1. Legal Right of Entry: We appreciate that the previously submitted lease agreement was between <br /> the landowners and Fremont Paving & Redi-Mix, Inc. We have included a letter and supporting <br /> documents from K. Scott Voelker, Deputy General Counsel, CRH Americas Inc, as transactions <br /> counsel to Oldcastle SW Group, Inc. This document is meant to serve as a legal explanation <br /> clarifying the merger between Oldcastle SW Group, Inc. and Fremont Paving and Redi-Mix, Inc., <br /> and (certain affiliated business entities). As a result of the merger, all assets, rights, properties, <br /> leases and contractual interest of the Acquired Entities (Fremont Paving and Redi-Mix, Inc.) <br /> including permits, leases, and real property interests, became the assets and obligations of <br /> Oldcastle SW Group, Inc. by operation of law. Therefore, Oldcastle SW Group, Inc. retains the <br /> full right to operate under the existing lease agreements and no lease renewal is required to <br /> establish or maintain operational authority. <br /> 2. Performance Warranty (PW): A revised Performance Warranty has been prepared and signed <br /> by Brandon Pack and notarized appropriately for resubmission. <br /> 3. Affidavit of Authority: An Affidavit signed by Brandon Pack, President of Oldcastle SW Group, <br /> Inc. dba United Companies, has been prepared and notarized for inclusion in the updated <br /> submission package. Additionally, as discussed, we have included documentation of Elected <br /> Officers who are authorized to execute agreements, contracts, documents, certificates, and other <br /> instruments for the purpose of conducting the Corporation's business. <br />
