�M►'�S-s'rt�s--moo•J <br /> GRAVEL PROPERTY LEASE <br /> • <br /> THIS GRAVEL PROPERTY LEASE ,dated this 10-10-2018 (the "Lease"),by and between the <br /> VAIL VALLEY RANCH LLC, a Colorado limited liability company, the mailing address of <br /> which,for purposes of the Lease,232 W.Meadow Dr. Vail Co. 81657 ("Landlord") and EAGLE <br /> ROCKS AGGREGATE, Inc. the mailing address of which, for purposes of this Lease is P.O. ' <br /> BOX 4260 Eagle,CO 81631 (the"Tenant"). <br /> •RENTALS <br /> A. Landlord is..a fee simple owner of certain real property located in the town of Gypsum, <br /> County of Eagle, State of Colorado and legally described as set forth in Exhibit A <br /> attached hereto and incorporated herein by reference, together with all improvements <br /> located thereon, and the appurtenances thereunto belonging (collectively, the "Leased <br /> Premises");and <br /> B. Landlord has agreed to lease the Leased Premises to Tenant and Tenant has agreed to <br /> lease the Leased Premises from Landlord on the terms stated herein. <br /> NOW THEREFORE, in consideration of the mutual covenants and agreements contained herein, <br /> Landlord and Tenant hereby covenant and agree as follows. <br /> 1. Definitions. All capitalized terms used in this Lease shall have the definitions assigned to <br /> such term in Exhibit B attached hereto and made a part hereof. <br /> 2. Leased Premises <br /> 2.1. Lease of Premises: For and in consideration of the payments to Landlord herein provided <br /> and the covenants of Tenant herein contained, Landlord hereby grants, leases, and lets <br /> exclusively unto Tenant for the purposes of (i) investigating, exploring, prospecting, <br /> drilling,mining for Materials and the production of aggregates; (ii) the building of roads, <br /> fire stations, telephone lines, and other structures thereon to produce, save,take care of, <br /> treat, transport, market and own such Materials, and (iii) performing any required <br /> Reclamation Activities on the Leased Premises. <br /> 2.2. Limitation on Use of Leased Premises; Additional Purposes: The Leased Premises shall <br /> not be used by Tenant for any purpose or purposes other than those specified above, or <br /> specifically granted elsewhere in this Lease; and Tenant agrees to use the Leased <br /> Premises only for those purposes. However, Tenant may use the Leased Premises for <br /> any additional lawful purpose when specifically authorized hereafter by written consent <br /> of Landlord with a written acknowledgement of Tenant,which consent may be withheld, <br /> granted or granted upon conditions,in the reasonable discretion of Landlord <br /> 2.3. Reclamation: Reclamation shall in all cases be substantially complete within the Term of <br /> the Lease"Substantially complete" shall mean that all fill and contouring work shall <br /> have been completed, that (subject to seasonal limitations) all planting of ground cover <br /> �� (C" <br />
