termination, have the right at its option to have any and all prepaid royalties not offset by <br /> Production Royalties(but not bonus or rental previously paid)refunded to Tenant. <br /> 1 4.3.Prohibited Landlord Actions: Landlord shall not enter into additional leases or other new• <br /> agreements regarding the Leased Premises during the Term of this Lease as long.as <br /> Tenant is in full compliance with terms of the lease. <br /> f4.4.Subdivision Approval Requirement: Landlord represents that the Leased_ Premises <br /> constitutes a legal lot under applicable law and that no subdivision approval,is required <br /> for"Ienant"s operations on the Leased Premises or for the granting of this Lease. <br /> J <br /> 14.5.Landlord Sale and Assignment Rights: Landlord shall have the right to sell or otherwise <br /> assign the Leased Premises subject to the Lease at any time during the Term of the <br /> Lease, assuming the Lease shall remain in full force and effect in its existing form <br /> following any such sale,assignment or other such transaction. <br /> 15. Taxes <br /> 15.1.During the Term of this Lease, Tenant shall pay when due all ad valorem property taxes <br /> and personal property taxes assessed on the Leased Premises. Tenant's obligation to pay <br /> all ad valorem property taxes and personal property taxes shall include any increase in <br /> property taxes and personal property taxes during the term of the Lease. 2018 taxes the <br /> responsibility of the Landlord. <br /> 16.Labor and Materials <br /> 16.1.Tenant agrees to keep the Leased Premises free and clear of liens, charges, claims, or <br /> demands arising from Tenant's operations hereunder and to promptly pay for all labor <br /> performed on the Leased Premises and for all supplies, materials, and equipment used or <br /> placed on the Leased Premises. Tenant shall defend, indemnify and hold harmless <br /> Landlord from and against any and all claims, charges, demands, causes of action, <br /> damages and liability, including reasonable attorney's fees and expert fees, that arise <br /> from or are connected to the acts or omissions of Tenant hereunder or to those of its <br /> contractors, subcontractors, employees, officers, agents or lessees in regard to providing <br /> labor and acquiring or installing materials, equipment and supplies for operations under <br /> this Lease. Tenant may contest in good faith any lien; provided that Tenant shall not <br /> allow title to Leased Premises or any portion of it to be lost. <br /> 17.
