1 <br /> HOLCIM <br /> May 28, 2025 <br /> Subject: HOLCIM - Corporate Rebranding and Name Change <br /> On January 28, 2024, Holcim Ltd (Holcim) announced its intent to separate and list its North <br /> American business with a full capital market separation (the "Spinoff") to create the leading <br /> pure-play building solutions company in the region. While the separation was announced in <br /> January 2024, final approval was provided by Holcim shareholders on May 14, 2025. The <br /> separation will include all of the assets and legal entities operating in the US and Canada and is <br /> anticipated to become effective on June 23, 2025. The new North American business will be <br /> branded as "Amrize". <br /> In connection with the Spinoff, changes to certain legal entity names will take place. This letter <br /> is intended to serve as the initial notification of the legal name change for all Holcim facilities <br /> located in your state or region. With a targeted effective date of June 23, 2025, the facility <br /> owner name will change; however, this is not a change in ownership as there will be no change <br /> to our Federal Employer Identification Number (FEIN) upon completion of the name change. <br /> The reference table attached (Table 1) to this letter provides a list of the legal entity name <br /> changes. <br /> The requisite applications, forms, and/or notifications to formally request the name change to <br /> our operating permits/licenses will be submitted as required following the legal filing with the <br /> applicable secretary of state.
