4 <br />Services Agreement <br />in part or in whole such reports within 48 hours of receipt of the report otherwise it shall be deemed to be <br />accepted. <br />The Contractor will prepare and maintain proper records related to the Services, including records, receipts <br />and invoices relating to disbursements. On request from the Owner, the Contractor will make the records <br />available open to audit examination by the Owner at any time during regular business hours during the time <br />the Contractor is providing the Services and for a period of 1 year after the expiry of the Term. <br />4. TERMINATION <br />4.1 Termination by Owner <br />The Owner may terminate this Agreement if the Contractor is adjudged bankrupt, or makes a general <br />assignment for the benefit of creditors because of its insolvency, or if a receiver is appointed because of its <br />insolvency, the Owner may, without prejudice to any other right or remedy the Owner may have, terminate <br />this Agreement by giving the Contractor or receiver or trustee in bankruptcy written notice; or if the <br />Contractor materially breaches its obligations under this Agreement and any such breach is not remedied <br />to the reasonable satisfaction of the Owner within 20 Business Days after delivery of written notice from the <br />Owner to the Contractor (or such longer period as may be agreed to by the Owner), then the Owner may, <br />without prejudice to any other right or remedy the Owner may have, terminate this Agreement by giving the <br />Contractor further written notice. <br />4.2 Termination by Contractor <br />The Contractor may terminate this Agreement if the Owner is adjudged bankrupt, or makes a general <br />assignment for the benefit of creditors because of its insolvency, or if a receiver is appointed because of its <br />insolvency, the Contractor may, without prejudice to any other right or remedy the Contractor may have, <br />terminate this Agreement by giving the Owner or receiver or trustee in bankruptcy written notice; or if the <br />Owner materially breaches its obligations under this Agreement and any such breach is not remedied to <br />the reasonable satisfaction of the Contractor within 20 Business Days after delivery of written notice from <br />the Contractor to the Owner (or such longer period as may be agreed to by the Contractor), then the <br />Contractor may, without prejudice to any other right or remedy the Contractor may have, terminate this <br />Agreement by giving the Owner further written notice. <br />4.3 Payment on Termination <br />Upon termination of this Agreement in accordance with Sections 4.1 or 4.2, the Owner will pay the <br />Contractor Fees for services rendered by the Contractor up to the effective date of termination, plus all <br />costs associated with demobilization and cancellation of third-party contracts. <br />5. INDEMNITY AND INSURANCE <br />5.1 Indemnification by Contractor <br />The Contractor will indemnify and save harmless the Owner, their respective subsidiary and affiliated <br />companies, and all of its directors, officers, employees, agents, representatives and indemnities, from and <br />against all claims, demands, causes of action, suits, losses, damages and costs, liabilities, expenses and <br />judgments (including all actual legal costs) which any of the indemnified Parties incur, suffer or are put to <br />arising out of or in connection with: <br />(a) any failure, breach, misrepresentation, breach of representation or warranty or non- <br />fulfillment of any covenant or obligation on the part of the Contractor under this Agreement <br />or any wrongful or negligent act, error or omission of the Contractor or any official, director, <br />employee, agent, sub-Contractor, representative or subcontractor of the Contractor; and
