ti <br /> and shall not be considered in interpreting the meaning of any provision of this Agreement. <br /> 9. Successors. The provisions of this Agreement shall extend to and be binding upon the <br /> Parties and their respective legal representatives, successors and assigns. <br /> 10. Consent. ACL shall not unreasonably withhold or delay its consent with respect to any <br /> matter for which ACL's consent is required or desirable under this Agreement. <br /> 11. Performance. If there is a default with respect to any of ACL's covenants, warranties or <br /> representations under this Agreement, and if the default continues more than fifteen (15) <br /> days after notice in writing from the County to ACL specifying the default, the County <br /> may, at its option and without affecting any other remedy hereunder, cure such default and <br /> deduct the cost thereof from the next payment hereunder until the County shall have been <br /> fully reimbursed for such expenditures,together with interest thereon at a rate equal to the <br /> lessor of twelve percent(12%)per annum or the then highest lawful rate. If this Agreement <br /> terminates prior to the County's receiving full reimbursement, ACL shall pay the <br /> unreimbursed balance plus accrued interest to the County on demand. <br /> 12. Compliance with Law. The County shall comply with all laws, orders, ordinances and <br /> other public requirements now or hereafter pertaining to the County's use of the Property. <br /> ACL shall comply with all laws, orders, ordinances and other public requirements now or <br /> hereafter affecting the Property. <br /> 13. Final Agreement. This Agreement terminates and supersedes all prior understandings or <br /> agreements on the subject matter hereof.This Agreement may be modified only by a further <br /> writing that is duly executed by both parties. <br /> 14. Governing Law.This Agreement shall be governed,construed and interpreted by,through <br /> and under the Laws of the State of Colorado. The Sedgwick County District Court shall <br /> have exclusive venue over any actions to enforce or interpret this Lease and any other <br /> disputes arising under this Lease. <br /> 15. Agreement Subiect to Annual Appropriations. In the event any funds arising under this <br /> Agreement (if any) are not budgeted and appropriated by the County for any obligations <br /> for the then-current or succeeding fiscal year, this Agreement shall impose no obligation <br /> on the County as to such current or succeeding fiscal year and shall become null and void. <br /> The financial obligations under this Agreement are subject to the County's annual <br /> appropriation and budgeting.This Agreement is not intended to,nor does it create a multi- <br /> year fiscal obligation as defined by Section 20,Article X of the Constitution of the State of <br /> Colorado. <br /> [Signatures on the Following Page] <br /> 3 <br />
