DocuSign Envelope ID:3CAFFBD5-753D-4E03-902D-D35AC812E449 <br /> Notwithstanding the notice requirements below, Arvada may provide the flow amount by <br /> phone,fax, email or other suitable means to assure effective delivery management. Arvada <br /> shall deliver the Leased Water to Lessee on a daily basis from the effective date of this <br /> Agreement through October 31, 2024, or until Surplus Water is no longer available, <br /> whichever occurs first. Actual day-to-day deliveries of Leased Water may vary, and the <br /> actual amount shall be in Arvada's sole discretion. <br /> B. Location. The point of delivery of the Leased Water shall be at the outfall <br /> of the Robert W. Hite Treatment Plant to the South Platte River. Lessee shall be responsible <br /> for delivery of the water to the intended place of use, and for all losses assessed in the <br /> delivery of the Leased Water from the outfall to Lessee's place of use. <br /> 4. Use of Leased Water. <br /> A. Lessee shall be responsible to obtain all permits or approvals needed to use <br /> the Leased Water. <br /> B. The Leased water shall not be included in an application for approval of a <br /> plan for augmentation or change of water right. If used in an application for approval of <br /> an SWSP or in a notice for use in a decreed plan for augmentation Lessee shall provide <br /> Arvada with a copy of the application or notice at least seven (7) days before filing the <br /> application or notice, and Arvada may submit comments or objections to such application <br /> or notice. If Lessee intends to use the Leased Water to replace depletions that occur within <br /> or upstream of a stream reach for which the CWCB holds a decreed instream flow water <br /> right then Lessee shall provide written notice to the CWCB of Lessee's right to use the <br /> Leased Water as part of the application or notice. <br /> C. Lessee will take no action that will cause or potentially could cause a <br /> reopening of any of Arvada's decrees. If a third party seeks to review Arvada's water rights <br /> or decrees in Water Court in connection with Lessee's proposed use of the Leased Water, <br /> Arvada, in its sole discretion, may terminate this Agreement with 7 days advance notice to <br /> Lessee. Such termination shall not constitute a breach of this Agreement by Arvada. <br /> 5. Accounting. Lessee shall provide Arvada with a weekly accounting of Lessee's <br /> use of the Leased Water. Lessee shall supply Arvada with copies of any water court decree <br /> or SWSP accounting for the use of the Leased water on a monthly basis, no later than the <br /> fifteenth day of the month following the month of accounting, or on a more frequent basis <br /> and at the times required to report to the water commissioner or division engineer as <br /> required by the Division of Water Resources. <br /> 6. Payment. Lessee shall pay to Arvada $500.00 per acre foot for each acre-foot of <br /> Leased Water delivered under this Agreement. Lessee shall pay at the time of execution <br /> of this Agreement a deposit of$4,000.00 that will be applied to the total amount owed for <br /> delivery of the Leased Water. Arvada will reconcile the accounting for actual deliveries <br /> made through October 15 and send an invoice to Lessee for the balance due. The final <br /> payment is due within 30 days of the date of that invoice. Lessee's obligation to pay Arvada <br /> is not contingent upon whether the Leased Water is put to beneficial use by Lessee. <br /> 2 <br />
