After recording, return to: <br /> Colorado Sand Company II, LLC <br /> c/o Chalegne O'Brien <br /> 221 Bolivar St, suite 400 <br /> Jefferson City, MO 65101 <br /> MEMORANDUM OF LEASE <br /> This memorandum of lease dated April 30 , 2024 (the "Memo"), by and between Wells Ranch, <br /> LLLP(the"Landlord"), and Colorado Sand Company II, LLC (the"Tenant"). <br /> 1. Lease Agreement. Landlord and Colorado Sand Company, LLC are parties to a lease <br /> agreement dated September 27,2023,as assigned to Tenant pursuant to that certain assignment <br /> dated on or around April , 2024 (the"Lease"), in which Landlord leases to Tenant the land <br /> legally described on Exhibit A to this Memo (the "Lease Premises") located in Weld County, <br /> Colorado. <br /> 2. Primary Lease Term. The primary term of the Lease is twenty (20) years beginning on <br /> September 27, 2023. <br /> 3. Renewal Terms. The Lease provides the parties may mutually agree to extend the term <br /> of the Lease by three(3) periods of five(5)years each. <br /> 4. Further Information. Persons requiring additional information concerning the Lease may <br /> contact Landlord or Tenant at the following addresses: <br /> Landlord: Wells Ranch LLLP <br /> Attn:Steve Wells <br /> 32010 CR 63 <br /> Gill, CO 80624 <br /> Tenant: Colorado Sand Company, LLC <br /> 2001 Kirby Drive, Suite 360 <br /> Houston, TX 77019 <br /> 5. Termination,Release,and Conflicts. This Memo shall automatically terminate without any <br /> further action upon the expiration or earlier termination of the Lease. Tenant acknowledges that <br /> Landlord shall have the right and authority to execute and record a release of this Memo upon <br /> the expiration or termination of the Lease.
