WATER STORAGE RESERVIOR <br /> CONSTRUCTION AGREEMENT <br /> THIS WATER STORAGE RESERVOIR CONSTRUCTION AGREEMENT <br /> ("Construction Agreement") is made on I nc 114 2008 between the <br /> CITY OF THORNTON, a Colorado municipal corp6fation whose address is 9500 Civic <br /> Center Drive, Thornton, Colorado 80229 ("Owner" or "Thornton") and Northern <br /> Colorado Constructors, Inc. a Colorado corporation whose address is 9075 WCR 10, <br /> Fort Lupton, Colorado 80621 ("Contractor" or"NCC"), or collectively (the "Parties"). <br /> RECITALS <br /> WHEREAS, Owner is a municipal corporation of the State of Colorado that inter <br /> alia provides water services to the inhabitants of the City of Thornton and others; and <br /> WHEREAS, Contractor is the operator of a gravel pit on property in southeast <br /> Weld County, more particularly described in Exhibit A - Property Description (the <br /> "Property") that has been purchased by Thornton concurrent with the execution of this <br /> Construction Agreement; and <br /> WHEREAS, simultaneous with the execution of this Construction Agreement, <br /> Thornton has entered into a Purchase and Sale Agreement with the Zadel Family LLLP <br /> for the purchase of the Property, whereby some of the individuals associated with the <br /> Zadel Family LLLP are also associated with NCC; and <br /> WHEREAS, Contractor desires to continue mining and develop the mined gravel <br /> pit for delivery to Owner for use as lined water storage; and <br /> WHEREAS, Contractor is the sole mining operator and has no obligations or <br /> relationships with any third party operators to mine or otherwise extract the minerals on <br /> the Property; and <br /> WHEREAS, in connection with the mining activities to be conducted on the <br /> Property, Contractor intends to construct interconnected lined water storage facilities <br /> with the capability of diverting and releasing water to Lupton Meadows Ditch and/or the <br /> South Platte River; and <br /> WHEREAS, upon completion of gravel mining/mineral extraction and after <br /> installation of necessary permeability barrier, and interconnects the Property would be <br /> suitable for Owner's use as off-channel water storage reservoirs; and <br /> WHEREAS, Owner has a need and desire to develop water storage facilities to <br /> meet growing demand and facilitate the maximum utilization of its water resources <br /> portfolio through the water storage facilities that are part of this Construction <br /> Agreement, so that Owner will be able to further advance its already diligent efforts and <br /> Construction Agreement—Zadel(v.4-24-08) <br /> 1 <br />
