This Agreement may be modified, amended, changed or terminated, <br /> whether in whole or in any part, only by an agreement in writing duly authorized and executed <br /> by both Parties with the same formality as this Agreement. <br /> 19. Governing= Law and Venue. The Parties agree that venue for any litigated <br /> disputes regarding this Agreement shall be the District Court in and for Rio Blanco County <br /> Colorado. <br /> 20. Joint Draft. The Parties agree they drafted this Agreement jointly with each <br /> having the advice of legal counsel and an equal opportunity to contribute to its content. <br /> Consequently, the doctrine of construction against the drafter shall not apply. <br /> 21. Intent of Acreement. This Agreement is intended to describe the rights and <br /> responsibilities of and between the Parties and is not intended to, and shall not be deemed to, <br /> confer rights upon any persons or entities not signatories hereto. <br /> 22. Memorandum of Lease. The parties hereto agree that this Lease shall not be <br /> recorded Clerk and Recorder's Office for Rio Blanco County, Colorado; provided that at the <br /> request of Lessee, Lessor shall prepare a memorandum of lease in form and substance reasonably <br /> acceptable to Lessee to be recorded in said Office for the protection of Lessee's interest <br /> hereunder. <br /> 23.
