Premises. <br /> (i) Without limiting the foregoing, Lessee shall abide by all Federal, <br /> state and local statutes, ordinances, codes and regulations, now existing or hereinafter enacted <br /> (collectively, "[-Iazardous Materials Laws") governing the use, handling, depositing or disposal <br /> of hazardous or toxic substances (collectively, "Hazardous Materials") on the Leased Premises <br /> during the Term. Lessor (1) represents and warrants that to Lessor's actual knowledge, the <br /> Property is in compliance with all Hazardous Materials Laws as of the Effective Date, and (ii) <br /> shall be solely responsible for remediating any i Iazardous Materials as may exist on the Property <br /> as of the Effective Date hereof. Lessee shall indemnify, defend and hold Lessor harmless from <br /> and against any and all Claims to the extent arising out of the use, handling, depositing or <br /> disposal or release of Hazardous Materials on the Leased Premises during the Term, such <br /> indemnity to include all costs, expenses and liabilities associated with the remediation thereof or <br /> incurred in connection with each Claim with respect thereto. <br /> (b) Lessor Indemnification. Lessor agrees to indemnify, defend and save <br /> harmless Lessee and Lessee's employees and agents from and against any and all loss, claims, <br /> demands, causes of action, costs and expenses of whatsoever sort which may result from injury <br /> to or death of any persons whomsoever or loss of or damage to property whatsoever, where such <br /> injury, death, loss or damage arises or in any way results from the negligent acts or omissions of <br /> Lessor, or any of their respective employees or agents. <br /> (c) Insurance. Lessee shall procure and keep in effect during the Term the <br /> insurance set forth below. Lessee shall provide at least fifteen (15) days' prior notice of <br /> cancellation of any such insurance to Lessor. The policy or policies for such insurance shall be <br /> in a form and with carriers reasonably acceptable to Lessor and shall provide minimum limits as <br /> follows: <br /> (i) Workers Compensation coverage with statutory limits of liability <br /> and Employer's Liability Insurance with limits not less than S500,000.00. <br /> (ii) Comprehensive General Liability insurance, including premises <br /> liability and contractual liability, but excluding pollution and contamination liability, with a <br /> combined single limit of not less than $5,000,000.00 for each occurrence of bodily injury and <br /> property damage. This requirement may be met by a combination of Comprehensive General <br /> Liability and Umbrella/ Excess Liability coverages. <br /> (iii) Comprehensive Automobile Liability, including all owned, non- <br /> owned, leased or hired vehicles, with a combined single limit of not less than $1,000,000.00 per <br /> occurrence of bodily injury and property damage. <br /> (iv) Any other insurance coverage required by relevant law. <br /> Lessee shall cause Lessor to be included as an additional insured on the insurance policies <br /> described in subsections (ii) and (iii) above.
