PROPERTY SWAP AGREEMENT <br /> THIS PROPERTY SWAP AGREEMENT (the "Agreement') is made this 19th of April, 2022 <br /> (the"Effective Date') <br /> BETWEEN: <br /> ANFIELD ENERGY INC., a British Columbia corporation <br /> with an office at 4390 Grange Street, Suite 2005, Burnaby, BC, <br /> V5H IP6("Anfield"); <br /> AND: <br /> ARH WYOMING CORP. ("ARH Wyoming"); <br /> AND: <br /> HIGHBURY RESOURCES INC. ("Highbury", and together <br /> with ARH Wyoming and Anfield Energy, the "Anfield <br /> Parties"); <br /> AND: <br /> URANIUM ENERGY CORP., a Nevada corporation with an <br /> office at 1030 West Georgia Street, Suite 1830, Vancouver, BC, <br /> V6E 2Y3 ("UEC"); <br /> (and the Anfield Parties and UEC are collectively referred to as <br /> the"Parties"and individually as a"Party"). <br /> WHEREAS: <br /> A. ARH Wyoming and Highbury are wholly-owned subsidiaries of Anfield; <br /> B. The Parties have simultaneously entered into a debt settlement agreement,dated April 19, <br /> 2022, (the"Settlement Agreement"). Under the terms of the Settlement Agreement the <br /> Parties have agreed to enter into this Agreement to effect an exchange of mining <br /> properties; <br /> C. Anfield owns, through ARH Wyoming, 1,689 unpatented mining claims located in the <br /> Albany, Campbell, Carbon, Converse, Crook, Fremont, Johnson, Natrona and <br /> Sweetwater Counties located in the State of Wyoming, as more particularly described in <br /> Part 1 of Schedule "A" which is attached hereto (collectively, the "Anfield Mining <br /> Claims"), and 38 state mineral leases located in Campbell, Carbon, Converse, Fremont, <br /> Johnson, Natrona and Sweetwater Counties located in the State of Wyoming, as more <br /> particularly described on Part 2 of Schedule"A"(collectively,the"Anfield Leases", and <br /> together with the Anfield Mining Claims,the"Anfield Leases& Claims'); <br /> D. The Anfield Parties desire to transfer their interests in the Anfield Leases & Claims to <br /> UEC, and UEC desires to acquire such interests on the terms and conditions set out in <br /> this Agreement; <br />
