BEFORE THE MINED LAND RECLAMATION BOARD <br /> STATE OF COLORADO <br /> IN THE MATTER OF COLORADO LEGACY LAND, LLC, SCHWARTZWALDER <br /> MINE, AM-6 APPLICATION, PERMIT No. M-1977-300 <br /> STIPULATED SETTLEMENT AGREEMENT BETWEEN THE DIVISION <br /> OF RECLAMATION, MINING, AND SAFETY, COLORADO LEGACY LAND, <br /> LLC,AND THE HANOVER INSURANCE COMPANY <br /> THIS STIPULATED AGREEMENT ("Agreement") is made and entered into <br /> by and between the Colorado Division of Reclamation, Mining and Safety <br /> ("Division"), Colorado Legacy Lands, LLC ("CLL" or "Operator") and The Hanover <br /> Insurance Company (Financial Warrantor) (jointly referred to as "Parties") <br /> regarding impairment of the financial warranty, default of the performance <br /> warranty and failure to comply with the conditions of the permit. Undersigned <br /> submit this Agreement for consideration and adoption by the Colorado Mined Land <br /> Reclamation Board ("Board") at the April 19, 2023, formal public hearing. In <br /> support of the Agreement, the Parties state the following: <br /> GENERAL FINDINGS OF FACT AND LAW <br /> 1. CLL has a 112d-2 designated mining operation permit, M-1977-300, for a <br /> uranium mine known as the Schwartzwalder Mine, located in Section 25, Township <br /> 2 South, Range 71 West, 6th Principal Meridian. The approximately 76-acre site is <br /> located in Jefferson County, Colorado. <br /> 2. CLL is a Delaware limited liability company in good standing and registered <br /> to conduct business in Colorado. Colorado Secretary of State Business Center <br /> records list the formation date of the company as July 19, 2017. The principal street <br /> address and mailing address location for Colorado Legacy Land, LLC is 333 W <br /> Hampden Avenue Suite 935, Englewood, CO 80110. <br /> 3. CLL is an "Operator", as defined by the Colorado Mined Land Reclamation <br /> Act ("Act") C.R.S. Section 34-32-103(10) and Hard Rock Rule 1.1(47), and the <br /> "Permittee", as defined under Rule 1.1(53). As the Operator and Permittee, CLL is <br /> subject to the requirements of the Act, the Rules and the conditions of the Permit. <br /> 4. Mineral extraction has not occurred at the Schwartzwalder Mine since 2000, <br /> and the site is in final reclamation. Surface reclamation obligations remain at the <br /> site and generally consists of removing waste rock from the valley floor and <br /> reclaiming the excavated areas to wildlife habitat. <br />
