<br /> address is 7250 Allegheny Drive, Colorado Springs, Colorado 80219, for Ten Dollars ($10.00)
<br /> and other good and valuable consideration, in hand paid, hereby sells and conveys to TXI
<br /> OPERATIONS, LP, a Delaware limited partnership ("Grantee"), whose address is c/o Martin
<br /> Marietta Materials, Inc., 1627 Cole Boulevard, Suite 200, Lakewood, Colorado 80401, the real
<br /> property in the County of Pueblo,State of Colorado that is legally described on Exhibit A attached
<br /> hereto (the"Real Property"), together with all of its appurtenances, excluding any right, title or
<br /> interest of Grantor in and to shares of Fountain Mutual Irrigation Company, shares of Twin Lakes
<br /> Reservoir and Canal Company or any rights associated with such shares, and warrants the title
<br /> against all persons claiming under Grantor,subject to all statutory exceptions under Colorado law,
<br /> including, without limitation, (i) real property taxes for the calendar year 2020 and later years, a
<br /> lien not yet due and payable,(ii)any and all erections,encroachments, easements,structures,rights
<br /> of way, utilities and other state of facts shown on the ALTA/NSPS Land Title Survey, Job No.
<br /> 13235, dated December 15, 2020, by EMK Consultants, Inc., and (iii) any and all covenants,
<br /> restrictions, easements, licenses, rights of way, access rights, agreements for the erection and/or
<br /> maintenance of water,gas,steam,electric,telephone,sewer,or other utility pipelines,poles,wires,
<br /> conduits or other like facilities, duties of support or contribution, mortgages, options, tenancies,
<br /> interests in mineral or water rights and other encumbrances which are a matter of public record,
