Stephen J. Perez ("Grantor''), and �g <br /> Tallahassee LLC.("Operator"),a Delaware limited liability company,whose address is P.O. Box � <br /> 376, West Perth, Western Australia 6872, Australia entered into a Surface Use Agreement 25 <br /> ("Agreement") covering the following described lands(the "Subject Lands") located in Fremont <br /> County.Colorado.to-wit: <br /> SOU 111 I-BAR i 11.a LU 1'91 SOU 111 I AIAR RANCH Ffl.;:4 FACIT U N11\i.RA1.S REV 997-04-021 <br /> t <br /> Pursuant to the Agreement, Grantor granted and Grantor hereby grants to the Operator a <br /> non-exclusive right to enter upon and explore the Subject Lands for the purposes of(i)conducting <br /> operations on the Subject Lands for the exploration and potential development of uranium and <br /> related minerals that may include,but are not limited to,drill pad preparation,drilling,pit and mad <br /> construction,construction and maintenance of water wells,water testing, environmental baseline <br /> studies, sump construction, gathering other data and information required for permitting, <br /> conducting mining and feasibility and other technical studies (collectively, "Exploration and <br /> Development Operations"); and (ii)ingress and egress to adjacent private,State of Colorado, and <br /> federally-owned properties for the conduct of such operations. <br /> If any federal,state,or local agency permit,application,petition,or filing(collectively,the <br /> "Authorizations")require that Operator obtain Grantor's prior consent,Grantor has provided and <br /> hereby provides its consent to any and all Authorizations by execution of the Agreement. If any <br /> of the Authorizations require Grantor's action, including, but not limited to, Grantor's express <br /> written consent. Grantor agrees, upon request by Operator, to take such action or provide such <br /> consent as reasonably appropriate and without unreasonable delay. <br /> The term of the Agreement is from the Effective Date through December 31, 2027 (the <br /> "Primary Term"). The Grantor also has granted and hereby grants to the Operator the option to <br /> extend the Primary Term of this Agreement under the same terms and conditions for an additional <br /> four(4)years(through December 31, 2030). <br /> Each of Grantor and Operator may assign and delegate their respective rights and <br /> obligations under the Agreement to any third party. The Agreement is binding upon and inures to <br /> the benefit of the parties and their respective heirs, devises, legal representatives,successors and <br /> assigns. Any sale,encumbrance, transfer or other disposition by Grantor of all or any portion of <br /> the Subject Lands shall be made expressly subject to the Agreement. <br />
