1026053 Pages: 1 of 3 <br /> 04/05/2023 01:39 W1 R Fee:$23.00 <br /> Justin D Grantham, Clerk and Recorder, Fremont County, CO <br /> Hill Fralt fif 4NIA 1W 11PIA1011 MAWA hb 11111 <br /> Exhibit A to surface use 1greement <br /> by and between <br /> Mary Diane Mrdd <br /> and Tallahassee LLC <br /> MEMORANDUM OF <br /> SURFACE USE AGREEMENT <br /> KNOW ALL MEN BY THESE PRESENTS: <br /> On-3, (7 , 2023 (the `Bffeetive Date'), MM Diane Mudd C 3raator"), and <br /> Tallahassee LLC,("Operator°),a Delaware limited liability company,whose address is P.O.Box <br /> 376, West Perth, Western Australia 6872, Australia entered into a Surface Use Agreement <br /> ("Agreement)covering the following described lands(the"Subject Lands")located in Fremont <br /> County,Colorado,to-wit: <br /> SOULS T-BAR FII.4 LOT 97 S+OUrA T-BAR RANCH FIL#4 0CC@)T MINERALS RBF 997-04-011 <br /> Pursuant to the Agreement, Grantor granted and Cnantar hereby grants to the Operator a <br /> non-exclusive right to enter upon and explore the Subject Lands for the purposes of(i)conducting <br /> operations on the Subject Lands for the exploratm and potential devclopnrent of uranium and <br /> related minerals that may include,but are not limited to,drill pad preparation, pit and road <br /> tn�c construction,crostion and maintenance of water wells,water testing,euviramnnental baseline <br /> studies, sump construction, gathering other data and information required for permitting; <br /> cm&cting alining and feasibility and other technical studies (collectively, "EVknaton and <br /> Development Operations'l;and(ii)ingress and egress to adjacent private,State of Colorado,and <br /> federally-owned properties for the conduct of such operations. <br /> If any federal,state,or local agency permit,application,petition,or filing(collectively,the <br /> "Authorizations")require that Operator obtain Grantor's prior consent,Grantor has provided and <br /> hereby provides its consent to any and all Authorizations by execution of the Agreement. If any <br /> of the Authorizations require Grantor's action. including but not limaited.to. Orantor's empress <br /> written consent, Orantor agrees,upon request by Operator,to take such action or provide such <br /> consent as reasonably appropriate and without tmreasonable delay. <br /> The term of the Agreement is from the Effective Date through December 31,2030. <br /> Each of CrrwrW and Operator may assign and delegate their respective rights and <br /> obligations under the Agreement to any third party. The Agreement is binding upon and inures to <br /> the benefit of the parties and their respective heirs,devises,legal representatives,suc emsom and <br /> assigns. Any sale,encam'brame,framsfer or other disposition by Grantor of all or any portion of <br /> the Subject Lands shall be made expressly subject to the Agreement. <br /> [Signature Pages to Follow.) <br />
