<br /> MEMORANDUM OF
<br /> SURFACE USE AGREEMENT
<br /> KNOW ALL AfEN BY THESE PRESENTS:
<br /> On /& 2023 (the"Effective Date"),Alan and Susan Thielen("Grantor"),
<br /> and Tallahassee LLC,C`Operatoe%a Delaware limited liability company,whose address is P.O.
<br /> Box 376,West Perth,Western Australia 6872,Australia entered into a Surface Use Agreement
<br /> ("Agreement")covering the following described lands(the"Subject Lands')located in Fremont
<br /> County,Colorado,to-wit
<br /> LOT 60 SOUTH T-a3AR RANCH FIL#4 EXCEPT MINERALS REF 997-04 1
<br /> Pursuant to the Agreement,Grantor granted and Grantor hereby grants to the Operator a
<br /> non-exclusive right to enter upon and explore the Subject Lands for the purposes of ()
<br /> conducting operations on the Subject Lands for the exploration of uranium and related minerals
<br /> that may include, but are not limited to, dr71 pad preparation, drilling, pit,construction,
<br /> eoastr _ji�andpmaintewmeoL o€rwa'ter wells, water testing, environmental baseline studies,
<br /> gathering other-data and information,requirod far permitting,conducting mining and feasibility
<br /> and other technical-studies,and(it)ingress and egress to adjacent private,State of Colorado,and
<br /> federally=owned properties for the conduct of such operuhona.
<br /> If any federal,state, or local agency permit,application,petition,
<br /> or filing(collectively,the"AuthormAtions')require that Operator obtain
<br /> Grantor's prior consort, Grantor has provided and hereby provides its
<br /> consent to any and all Authorizations by execution of the Agreement. If
<br /> my of the Authorizations require Grantor's action, including but not
<br /> limited to,Grantor's express written consent,Grantor agrees,upon request
<br /> by OpeMor,to take such action or provide such consent as reasonably
<br /> appropriate and without umressonable delay,
<br /> The term of the Agreement is from the Effective Date through December 31,2024(the
<br /> "Primary Term'). The Grantor also has granted and hereby grants to the Operator the option to
<br /> extend the Primary Term of this Agreement under the same terms and conditions for an
<br /> additional six(6)years(through December 31,2030). The Operator shall have no such right to
<br /> extend the Primary Term if at the end of any such two-year period the Operator has any uncured
<br /> defaults under this AgreemenL
<br /> Each of Grantor and Operator may assign and delegatt their respective rights and
<br /> obligations under the Agreement to any third patty.The Agreement is binding upon and inures to
<br /> the benefit of the parties sad their respective heirs,devises,legal representatives,successors and
<br /> assigns. ARY sale,encumbrance,traasPer or other disposition by Grantor of an or any portion of
<br /> the Subject Lands shall be mado expressly subject to the Agreement.

<br /> Use Agreement to be duly executed on the date(s) set forth below; to be effective as of the
<br /> Effective Date.
