Western Australia 6872, Australia entered into a -�T <br /> Surf.•tce Use Agreement ("Agreement") covering the following described lands (the "Subject 3 <br /> Lands")located in Fremont County,Colorado,to-wit: °. <br /> 0 <br /> SOUTH T-BAR FIL 4 LOT 79 SOUTH T-BAR RANCH FIL*4 EXCEPT MINERALS REF 997-04-021 C <br /> Pursuant to the Agreement,Grantor granted and Grantor hereby grants to the Operator a -o <br /> non-exclusive right to enter upon and explore the Subject Lands for the purposes of (i) <br /> conducting operations on the Subject Lands for the exploration of uranium and related minerals = <br /> that may include, but are not limited to, drill pad preparation, drilling, pit construction, <br /> construction and maintenance of water wells, water testing, environmental baseline studies, _ <br /> S gathering other data and information required for permitting, conducting mining and feasibility <br /> and other technical studies;and(ii)ingress and egress to adjacent private,State of Colorado,and <br /> ( federally-owned properties for the conduct of such operations. <br /> If any federal, state, or local agency permit, application,petition,or filing(collectively, <br /> the"Authorizations")require that Operator obtain Grantor's prior consent,Grantor has provided <br /> and hereby provides its consent to any and all Authorizations by execution of the Agreement. if <br /> any of the Authorizations require Grantor's action, including, but not limited to, Grantor's <br /> express written consent,Grantor agrees,upon request by Operator,to take such action or provide <br /> such consent as reasonably appropriate and without unreasonable delay. <br /> The term of the Agreement is from the Effective Date through December 31,2024(the <br /> "Primary Term"). The Grantor also has granted and hereby grants to the Operator the option to <br /> extend the Primary Term of this Agreement under the same terms and conditions for an <br /> additional six (6) years (through December 31, 2030) by resigning a two (2) year <br /> acknowledgement and receipt of summary activities in 2024,2026 and 2028. The Operator shall <br /> have no such right to extend the Primary Term if at the end of any such two-year period the <br /> (;�erator has any uncured defaults under this Agreement. <br /> lraeh of Grantor and Operator may assign and delegate their respective rights and <br /> odligatabns under the Agreement to any third party. The Agreement is binding upon and inures <br /> to the benefit of the parties and their respective heirs, devises, legal representatives, successors <br /> and assigns. Any sale, encumbrance, transfer or other disposition by Grantor of all or any <br /> portion of the Subject Lands shall be made expressly subject to the Agreement. <br /> (Signature Pages to Follow.] <br />
