"Services"means the services to be performed by Contractor as set forth in this Contract,and shall include <br /> any services to be rendered by Contractor in connection with the Materials. <br /> Q. Special Provisions for this Project" means the CDOT specifications generated for this project, including <br /> the"Project Special Provisions"that are found at https:Hcdot.dbesystem.com/. <br /> R. "Standard Specifications" means the Standard Specifications for Road and Bridge Construction that are <br /> found at https://www.cdot.gov/business/designsupport/cdot-construction-specifications/2019-construction- <br /> specifications/2019-specs-book. <br /> S. "State Confidential Information"means any and all State Records not subject to disclosure under CORA. <br /> State Confidential Information shall include, but is not limited to, PII, PHI, Tax Information, and State <br /> personnel records not subject to disclosure under CORA. State Confidential Information shall not include <br /> information or data concerning individuals that is not deemed confidential but nevertheless belongs to the <br /> State,which has been communicated, furnished,or disclosed by the State to Contractor which(i) is subject <br /> to disclosure pursuant to CORA; (ii) is already known to Contractor without restrictions at the time of its <br /> disclosure to Contractor;(iii)is or subsequently becomes publicly available without breach of any obligation <br /> owed by Contractor to the State;(iv)is disclosed to Contractor,without confidentiality obligations,by a third <br /> party who has the right to disclose such information;or(v)was independently developed without reliance on <br /> any State Confidential Information. <br /> T. "State Fiscal Rules"means that fiscal rules promulgated by the Colorado State Controller pursuant to §24- <br /> 30-202(13)(a). <br /> S. "State Fiscal Year"means a 12 month period beginning on July 1 of each calendar year and ending on June <br /> 30 of the following calendar year. If a single calendar year follows the term,then it means the State Fiscal <br /> Year ending in that calendar year <br /> V. "State Records" means any and all State data, information, and records, regardless of physical form, <br /> including,but not limited to,information subject to disclosure under CORA. <br /> W. "Subcontractor"means third-parties,if any,engaged by Contractor to aid in performance of the Work. <br /> X. "Tax Information" means federal and State of Colorado tax information including, without limitation, <br /> federal and State tax returns,return information,and such other tax-related information as may be protected <br /> by federal and State law and regulation.Tax Information includes,but is not limited to all information defined <br /> as federal tax information in Internal Revenue Service Publication 1075. <br /> Y. "Work" means the furnishing of all labor, materials, equipment, and incidentals necessary to successfully <br /> complete the project according to all duties and obligations imposed by the Contract. <br /> Any other term used in this Contract that is defined in an Exhibit shall be construed and interpreted as defined in <br /> that Exhibit. <br /> 5. STATEMENT OF WORK <br /> Contractor shall complete the work as described in this contract in accordance with the provisions of the project <br /> plans and specifications,and CDOT's Standard Specifications. <br /> 6. PAYMENTS TO CONTRACTOR <br /> A. Maximum Amount <br /> Payments to Contractor are limited to the unpaid, obligated balance of the Contract Funds. The State shall <br /> not pay Contractor any amount under this Contract that exceeds the Contract Maximum that is shown on the <br /> Signature and Cover Page for this Contract. <br /> B. Payment Procedures <br /> The State shall pay Contractor in the amounts and in accordance with the requirements of the Standard <br /> Specifications and the Supplemental Specifications,for the completed Work at the unit prices set forth in the <br /> Contractor's Proposal attached as Exhibit A,and such further amounts as may be required for extra Services <br /> or Materials provided according to the provisions and subject to the conditions set forth in the Standard and <br /> Supplemental Specifications. <br /> The State is prohibited by law from making commitments beyond the term of the current State Fiscal Year. <br /> Payment to Contractor beyond the current State Fiscal Year is contingent on the appropriation and continuing <br /> availability of Contract Funds in any subsequent year (as provided in the Colorado Special Provisions).
