Exhibit B <br /> Delegation of Authority <br /> From C.Howard Nye <br /> To H.Abbott Lawrence <br /> April 1,2018 <br /> REAL ESTATE CONTRACTS <br /> You are specifically delegated the following authorities with respect to contracts either prepared by or <br /> previously approved by the Legal Department, permit and zoning applications and real estate matters <br /> within your Division subject to the following conditions: <br /> 1. Easements and Rights of Way. You are authorized to execute easements and rights-of-way over and <br /> across Martin Marietta owned property and to cosign(along with the property owner) easements and <br /> rights-of-way over and across Martin Marietta leased property provided that: <br /> a) a boundary survey or other legally sufficient description of the easement or right-of-way is <br /> provided; <br /> b) an approved indemnification provision in favor of Martin Marietta is included; <br /> c) where possible, a provision providing for reversion to Martin Marietta after the use intended <br /> is discontinued is included in the document; <br /> d) where possible, a provision providing for relocation of the easement or right-of-way to other <br /> areas of Martin Marietta property at our option; <br /> e) you consider compensation for the easement of right-of-way on a case by case basis using <br /> good business judgment; <br /> f) a division or corporate environmental manager has analyzed the intended use and approved <br /> in writing the easement or right-of-way or recommended and completed appropriate <br /> environmental review. <br /> 2. Purchase of Real Property. You are authorized to execute contracts for the purchase or improvement <br /> of real property, buildings and other structures (including contracts with option or a series of option <br /> periods),closing statements and other related documents provided that: <br /> a) the maximum purchase price, not including survey, title, taxes and closing costs does not <br /> exceed $1,000,000, with authority to redelegate limited to $250,000 to Vice <br /> President/General Managers; <br /> b) the contract executed is an approved or standard form document; <br /> c) a CER has been approved prior to execution of the purchase contract. Purchase contracts <br /> preceded by option or a series of option periods where Martin Marietta is not bound unless <br /> the option is exercised may be executed without CER approval where the option payment <br /> does not exceed$50,000. Such options may not be exercised without CER approval; <br /> d) (i) a Phase 1 audit is conducted by an approved consultant and a sign-off obtained from the <br /> corporate Director of Environmental Services prior to the purchase or the time that Martin <br /> Marietta is contractually bound to purchase; or(ii) in unique or special circumstances where <br /> an exception to corporate policy is made and no Phase 1 is required, this exception is <br /> approved in writing by the Vice President of Land and Environmental Services; <br /> e) an ALTA approved survey is completed and title insurance is obtained for the purchased <br /> property prior to closing. <br /> 3 <br />
