("Contractor") and Water Hunt, LLC ("Hunt") <br /> regarding certain pipelines relocation on the referenced property described on Exhibit A owned by <br /> Hunt located west of US Highway 85 and north of CR 36 (the "Property"). KMOG, Contractor <br /> and Hunt may be referred to herein individually as a"Party"and collectively, as the"Parties." <br /> On or before fourteen (14) days following the date of this Agreement, Contractor shall make a <br /> one-time payment to KMOG of Thirty-Seven Thousand Dollars($37,000.00)("Estimated Cost"), <br /> being the amount necessary for KMOG to remove two existing flowlines and install one new <br /> flowline which will serve both the Thompson 24-6 and Thompson 33-6 wells located on the <br /> Property (the"Project"). On or before the 60`h day following KMGG's delivery of written notice <br /> to Contractor of completion of the Project, KMGG shall deliver a written reconciliation and <br /> supporting documentation of KMOG's total completion cost with the Estimated Cost. If KMOG's <br /> total cost of the Project exceed the Estimated Cost, then Contractor shall remit payment of such <br /> excess amount to KMOG on or before the 301h day following KMOG's delivery of such <br /> reconciliation. If the Estimated Cost exceeds KMOG's total cost of Project completion, then <br /> KMOG shall remit payment of such excess amount to Contractor on or before the 30`h day <br /> following KMOG's delivery of such reconciliation. <br /> KMOG agrees to re-route the flowlines,as depicted on Exhibit A, for the Thompson 24-6 well and <br /> the Thompson 33-6 well to run together into one flowline from the wells running west to a point <br /> outside the mining area then run north-east to KMOG's battery facility located on the north <br /> property line of the Property. <br /> Contractor hereby agrees to complete all dirt work including excavation and backfilling to <br /> KMOG's satisfaction.
