Buyer agrees to buy and Seller agrees to sell <br /> the property described below on the terms and conditions set <br /> forth in this agreement (Agreement) . <br /> 1. RECITALS. <br /> 1.1 Seller is the owner of gravel pit known as the Romeo Sand <br /> and Gravel located in Conejos County, State of Colorado, <br /> with the right to mine gravel on and under the Land, <br /> together with improvements. <br /> 1.2 Seller desires to sell the gravel pit and associated <br /> mineral interest. <br /> 1.3 Buyer desires to buy all of the above-mentioned property of <br /> seller in accordance with all the terms and conditions <br /> contained in this Agreement. <br /> 1.4 Seller has agreed that the property to be sold in the <br /> agreement shall be conveyed to Buyer free and clear of and <br /> from all liens and encumbrances. <br /> 1.5 Seller warrants that it is not a party to any contract for <br /> the sale of gravel. <br /> Now, therefore, in consideration of the mutual benefits accruing <br /> to each party, the parties agree for themselves, their heirs, <br /> successors and assigns as follows: <br /> 2. PARTIES AND PROPERTY. <br /> 2.1 Buyer. Conejos County, a political subdivision of the State <br /> of Colorado (Buyer) , acting by and through the Conejos <br /> County Board of County Commissioners, will take title to <br /> the Property described below by General Warranty deed. <br /> 2.2 No Assignability. This Contract IS NOT assignable by Buyer <br /> without written consent of the seller. <br /> 2.3 Seller. Gale Terese Gallegos, 12127 U.S Hwy 285, P.O. Box <br /> 517, Romeo, CO 81148, personally and as member/manager and <br /> owner of Romeo Sand and Gravel LLC, (Seller) is the current <br /> owner of the Property described below. <br /> Page 1 of 16 <br />
