Buyer shall take ownership <br /> and control of the equipment at the time of closing. <br /> 3. PURCHASE PRICE AND TERMS. <br /> 3.1 Price. The Purchase Price is $425,000.00, payable in U.S. <br /> Dollars by Buyer to Seller at Closing. <br /> 3.2 Seller Concession. Seller will not provide any concessions <br /> or credit to Buyer. <br /> 3.3 Earnest Money. The Buyer is not obligated to deposit <br /> Earnest Money. <br /> 3 .4 Loads of Gravel Agreement to Seller. Subject to <br /> appropriation, for a period of 5 years from the date of <br /> closing, at the discretion of the Seller, Buyer shall <br /> deliver up to 5 loads of gravel from the subject gravel <br /> pit. The 5 loads of gravel will be delivered by Buyer, <br /> using Buyer' s equipment, to Seller' s private residence <br /> within Conejos County, State of Colorado. Buyer is relieved <br /> from providing loads of gravel pursuant to this provision <br /> if Buyer fails to appropriate for the same, if rules and <br /> regulations prevent Buyer from delivering loads of gravel <br /> to Seller, if Buyer is insolvent, or if Buyer fails to <br /> crush material at the subject gravel pit. <br /> 3 .5 Form of Funds; Time of Payments Available Funds. All <br /> amounts payable by the parties at Closing, including any <br /> loan proceeds, Cash at Closing and closing costs, must be <br /> in funds that comply with all applicable Colorado laws, <br /> including electronic transfer funds, certified check, <br /> savings and loan teller' s check and cashier's check (Good <br /> Funds) . All funds, including the Purchase Price to be paid <br /> by Buyer, must be paid before or at Closing or as otherwise <br /> agreed in writing between the parties to allow disbursement <br /> at Closing OR BUYER WILL BE IN DEFAULT. Buyer represents <br /> that Buyer, as of the date of this Contract, does have <br /> funds that are immediately verifiable and available in an <br /> amount not less than the purchase price.
